Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Zarlo, including the website located at zarlo.io and all related services (collectively, the “Platform”). The Platform is operated by Zarlo ([ZARLO LLC — LEGAL NAME PENDING FORMATION], “Zarlo,” “we,” “us,” or “our”). By creating an account or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. What Zarlo Is

Zarlo is an editorial SaaS directory. It combines (a) a curated directory of business software listings and (b) original editorial articles, reviews, and comparisons written by Zarlo's editorial team. Zarlo is informational and editorial in nature. Zarlo is not a marketplace, broker, reseller, or party to any transaction between a Consumer and a Business Owner, and does not process purchases of any listed product or service on behalf of either party.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By using the Platform, you represent that you meet this requirement and that all information you provide during registration is accurate and current.

3. Accounts and Roles

Zarlo offers two paid account types, referred to throughout these Terms as roles:

• Consumer — access to the full directory, editorial articles, and the ability to save tools and submit reviews.
• Business Owner — the ability to submit and manage a business listing in the directory, view listing analytics, and reply to reviews left on that listing.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@zarlo.io if you suspect unauthorized use of your account.

4. Subscriptions and Billing

Zarlo does not offer a free tier. Access requires an active paid subscription under one of the following plans, billed in advance and processed by our third-party payment processor, Stripe:

• Consumer: $12/month, or $99/year.
• Business Owner: $39/month, or $400/year.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and no partial refunds are issued for unused time within a period unless required by applicable law. Prices are subject to change with reasonable advance notice before your next renewal.

If a Business Owner subscription lapses or is cancelled, the associated listing will be removed from the public directory at the end of the current billing period, as described further in Section 6.

5. Business Listings

Business Owners may submit a listing for review. Zarlo reviews all submissions before publication and reserves full editorial discretion to approve, reject, edit, feature, unfeature, suspend, or remove any listing at any time, including listings that are already live, for any reason including but not limited to inaccurate claims, policy violations, or failure to maintain an active subscription. Approval of a listing is not an endorsement of the underlying product by Zarlo.

Business Owners represent that all information submitted about their product — including pricing, features, and company details — is accurate and that they have the authority to submit and manage a listing on behalf of the business described.

6. Reviews and User Content

Consumers may submit reviews of listed products. Reviews must reflect the reviewer's genuine, first-hand experience. You may not submit fake, incentivized, duplicate, or misleading reviews, and Business Owners may not submit or solicit reviews of their own listing or manipulate reviews of a competitor's listing.

By submitting a review or any other content to the Platform (“User Content”), you grant Zarlo a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and distribute that content in connection with operating and promoting the Platform. You retain ownership of your User Content. Zarlo may remove any User Content that violates these Terms at its discretion.

7. Editorial Content

Articles, comparisons, and reviews published by Zarlo's editorial team reflect the independent opinion of Zarlo and its writers at the time of publication. Editorial content is provided for general informational purposes only and does not constitute professional, financial, or legal advice, and should not be the sole basis for any purchasing decision. Zarlo does not guarantee the accuracy, completeness, or current relevance of any editorial content, and pricing or feature information for third-party products may change without notice.

8. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law;
• Attempt to gain unauthorized access to any account, system, or data not belonging to you;
• Scrape, harvest, or bulk-extract data from the Platform without Zarlo's prior written consent;
• Submit false, misleading, defamatory, or fraudulent content of any kind;
• Interfere with or disrupt the integrity or performance of the Platform; or
• Use the Platform to build a directly competing product using data obtained from Zarlo.

9. Intellectual Property

The Platform, including its editorial content, design, logos, and underlying software, is owned by Zarlo or its licensors and is protected by intellectual property laws. Except for the limited license to use the Platform as intended, no rights are granted to you in Zarlo's intellectual property.

10. Disclaimers

The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Zarlo does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any listing, review, or editorial content is accurate or complete.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Zarlo and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Platform. Zarlo's total aggregate liability for any claim arising from these Terms or the Platform will not exceed the amount you paid to Zarlo in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold Zarlo harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your User Content, or your violation of these Terms.

13. Termination

Zarlo may suspend or terminate your account at any time for violation of these Terms, non-payment, or suspected fraudulent or harmful activity. You may terminate your account at any time through your account settings. Sections of these Terms that by their nature should survive termination (including Sections 9–12) will survive.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Platform will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, unless applicable law in your jurisdiction requires otherwise.

15. Changes to These Terms

Zarlo may update these Terms from time to time. Material changes will be communicated by posting an updated version on this page with a revised “Last updated” date, and, where required by law, by additional notice such as email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
